Monday Project Sync — End-User License Agreement

1. Parties and acceptance
This End-User License Agreement ("Agreement") is between Wire Nuts Commercial Electrical ("we", "us") and any person who uses Monday Project Sync ("you"). Monday Project Sync (the "Software") is an internal tool that reads job-cost information from QuickBooks Online and QuickBooks Time and displays it inside our monday.com workspace.
By connecting the Software to a QuickBooks or monday.com account, or by using its dashboard, you accept this Agreement. If you do not accept it, do not use the Software.
The Software is provided for use by Wire Nuts Commercial Electrical and its authorized staff and contractors. It is not offered for sale or for use by other businesses.
2. License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for Wire Nuts Commercial Electrical's internal business purposes, within the accounts we administer, and only in accordance with this Agreement.
The Software, including its code, design, and documentation, remains the property of Wire Nuts Commercial Electrical. This Agreement gives you no ownership rights in it.
3. Restrictions
You may not:
copy, modify, distribute, sell, or sublicense the Software, or make it available to anyone outside Wire Nuts Commercial Electrical;
connect it to a QuickBooks, QuickBooks Time, or monday.com account you are not authorized to administer;
use it to access data you are not entitled to see under Wire Nuts Commercial Electrical's own policies;
share credentials, session tokens, or secrets used by the Software;
attempt to bypass its authentication, or interfere with its operation or with the services it connects to;
use it in violation of any law or of Intuit's or monday.com's terms.
4. Third-party services
The Software depends on services we do not control: QuickBooks Online and QuickBooks Time, provided by Intuit Inc., and monday.com, provided by monday.com Ltd. Your use of those services is governed by their own terms and privacy policies, which this Agreement does not replace.
Intuit and monday.com may change, suspend, or discontinue their services or APIs. If they do, the Software may stop working in whole or in part, and we are not responsible for that.
The Software is not endorsed by, affiliated with, or sponsored by Intuit or monday.com. QuickBooks is a trademark of Intuit Inc. monday.com is a trademark of monday.com Ltd.
5. Data and privacy
How the Software handles information is described in the Monday Project Sync Privacy Policy, which forms part of this Agreement.
The Software reads from QuickBooks Online and QuickBooks Time and writes only to monday.com. It does not create, modify, or delete records in QuickBooks. Figures it writes to monday.com are summaries calculated from QuickBooks data and are refreshed on each sync; QuickBooks remains the system of record for financial data.
You are responsible for keeping the accounts the Software connects to secure, and for the accuracy of the data in them.
6. No warranty
The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Software will be uninterrupted or error-free, or that the figures it displays are complete or correct. Figures depend on the data in QuickBooks and monday.com, on the timing of syncs, and on the continued operation of third-party services. Verify any figure against QuickBooks before relying on it for a financial, tax, legal, or contractual decision.
7. Limitation of liability
To the fullest extent permitted by law, Wire Nuts Commercial Electrical will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to the Software or this Agreement, however caused and under any theory of liability, even if advised of the possibility of such damages.
To the extent any liability cannot be excluded, our total liability under this Agreement is limited to one hundred US dollars (US$100).
8. Term and termination
This Agreement applies for as long as you use the Software. We may suspend or end your access at any time, with or without notice, including if you breach this Agreement. You may stop using the Software at any time, and we may disconnect it from QuickBooks or remove it from monday.com at any time.
Sections 2 through 9 survive termination.
9. General
Governing law. This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction.
Changes. We may update this Agreement by posting a revised version at this address with a new effective date. Continued use of the Software after that date means the revised Agreement applies.
Entire agreement. This Agreement and the Privacy Policy are the complete agreement about the Software. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver of it.
